1. Acceptance of Terms

By creating an account, accessing, or using Resly ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. These terms constitute a legally binding agreement between you and Resly.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and your agreement to these terms will be treated as the agreement of the organization.

2. Service Description

Resly provides an AI-powered customer support platform that enables automated responses, knowledge base integration, and workflow automation. The Service is provided on an "as-is" and "as-available" basis.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.

3. User Obligations and Acceptable Use

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Use the Service only for lawful purposes and in compliance with all applicable laws
• Not attempt to gain unauthorized access to any part of the Service
• Not interfere with or disrupt the Service or servers
• Not use the Service to transmit harmful code, viruses, or malware
• Not reverse engineer, decompile, or disassemble any part of the Service

4. Prohibited Uses

You may NOT use the Service to:

• Violate any local, state, national, or international law
• Infringe on intellectual property rights of others
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any form of automated data collection, scraping, or crawling without our express written permission
• Distribute spam, unsolicited messages, or engage in any form of harassment
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to circumvent any security features or access controls

5. Intellectual Property Rights

The Service, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, is owned by Resly and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the content you upload to the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights.

6. Payment and Subscription Terms

Certain features of the Service require payment of fees. You agree to pay all fees according to the pricing and payment terms in effect at the time the fee becomes payable.

Subscription fees are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

We reserve the right to change our pricing at any time. Price changes will be communicated to you with at least 30 days notice and will apply to subsequent billing periods.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranties regarding the availability, reliability, or accuracy of the Service
• Any warranties that the Service will be uninterrupted, secure, or error-free
• Any warranties regarding the accuracy, completeness, or reliability of AI-generated responses
• Any warranties that defects will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Resly, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable laws.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy.

You acknowledge that AI systems may occasionally produce inaccurate or unexpected outputs. You are solely responsible for reviewing and verifying all AI-generated content before using it in production environments.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, and without liability to you.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

Sections that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

12. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration under the DIFC-LCIA Arbitration Rules, except that either party may seek injunctive or other equitable relief in the DIFC Courts.

The arbitration will be conducted by a single arbitrator and will take place in Dubai International Financial Centre (DIFC), United Arab Emirates. The language of the arbitration shall be English, and judgment on the award may be entered in any court having jurisdiction.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Service shall be instituted exclusively in the DIFC Courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last Updated" date.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified terms, you must stop using the Service.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Resly regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
